Financing in China – a practical legal orientation

Although the most difficult times may have passed, the lending and credit restrictions imposed by the Chinese regulator will remain a problem for lenders and borrowers during 2012. At the same time, the importance of the Chinese market is increasing, and the need for Swedish companies to obtain local financing will continue to grow. Combining this with a complex and ever-changing regulatory framework, it may appear difficult to find sufficient financing when needed, without agreeing to terms which are unattractive for the borrower, or terms which defaults financing arrangements on group level.

Loans from abroad are often not an alternative and a company may therefore find itself with no option but to finance its operations by way of equity. However, with a strategy for your financing and a reasonable financing partner, external local financing should often prove to be the better solution.

Mikael Lindgren is a Swedish qualified lawyer, specialised in banking and finance law since six years. He regularly acts for banks and corporate borrowers, assisting them on matters such as working capital facilities, cross-border financing, leveraged and structured finance, distressed debt restructuring and regulatory matters. Since 2011, Mikael is based in Shanghai heading Mannheimer Swartling’s newly established banking and finance practice in China.




André Andersson chairs the firm’s Banking and Finance practice group and is the firm’s Global Relationship Partner. With almost 25 years’ experience of international financing, André Andersson has the ability to deal with complicated issues in cross-border transactions and develop innovative solutions. In recent years, he has frequently advised on matters regarding the restructuring of distressed debt in Sweden and the Baltic region and is currently active in the development of the firm’s banking practice in China. André Andersson received Chambers European Award for Outstanding Contributions to the Legal Profession in 2011.
